1. About these Terms

These Terms of Use ("Terms") apply to Matdo Grade for iPhone and iPad and its grading service, provided by Matdo Lab LLC ("we", "us"). By downloading, installing or using the app, you agree to these Terms. If you do not agree, do not use it.

You must be at least 18 to use the grading service. The App is intended for adult teachers, tutors and parents. Do not give anyone under 18 access to the grading service, including through a shared device.

If you use the app on behalf of a school, tutoring center or other organization, you confirm that you have authority to agree for that organization. In that case, "you" includes both you and the organization.

Our Privacy Policy explains how we handle information and forms part of these Terms. It is available in the app and at matdolab.com/privacy/grade. The current Terms are also available at matdolab.com/terms/grade.

2. Key points

  • Matdo Grade uses AI to help mark student work. You must review its results before using or sharing them.
  • Grading requires an internet connection and your permission to send pages through our server to Google.
  • Our server does not save your pages or grading results, except in a problem report you choose to send. Saved work is held on your device; Google's handling is explained in the Privacy Policy.
  • Grading uses units. A marked page costs 5 to 20 units at Brief output, by how much grading work it takes, and 5 or 10 more at Detailed; a context page costs 3. Requests that return no graded work or reach the response length limit are not charged.
  • Subscriptions renew automatically until canceled through Apple. Deleting the app does not cancel a subscription.
  • These Terms preserve any consumer rights that the law does not allow us to exclude.

This section is a summary. If it differs from the detailed sections below, those sections apply.

3. Words used in these Terms

  • App: Matdo Grade, including updates made available through the App Store.
  • Service: our server-based grading service, which sends requests to the AI provider and returns results.
  • Student Work: pages you submit, anything written on them, and the grades, annotations and feedback produced from them.
  • Output: AI-generated marks, answers, worked solutions, rubric results and feedback.
  • Device: an iPhone or iPad running the App.
  • Output Level: Brief or Detailed. Brief gives marks, answers and a short working check; Detailed adds worked solutions and notes on errors.
  • Unit: the measure used to charge for grading, explained in section 12.
  • Allowance: the Units available under a Subscription for one monthly period, as described in section 12.
  • Subscription: an automatically renewing monthly plan purchased through the App Store.
  • Top-Up: a one-time purchase of Units that does not renew or expire.
  • Apple: Apple Inc. and its subsidiaries that distribute the App and process App Store purchases.

4. What the App does

The App captures pages, sends them for grading and displays marks on the page. It can provide worked solutions and, in Essay Mode, feedback based on a rubric. Captured pages and results are saved on your Device and can be exported as images.

The App assists teachers, tutors and parents with marking. It is not an examination or assessment authority and does not replace professional judgment.

Matdo Grade is an independent product. Its use of Google and Apple services does not mean they endorse it. It is not affiliated with or endorsed by any school, examination board, curriculum authority or franchise brand. Third-party trademarks belong to their owners.

5. Reviewing AI results

AI can misread handwriting, misunderstand a question, use an unsuitable method, produce an incorrect answer or invent information. The App checks for some errors, but it cannot detect every mistake. A confident-looking result may still be wrong.

Treat every Output as a draft. Check it before returning work to a student, entering a grade, reporting to a parent or making a decision about a student.

Do not use the Output as the sole basis for an official grade, placement, report card, qualification, disciplinary finding, academic-integrity finding or other decision that materially affects a person. You remain responsible for reviewing the result and exercising your own judgment.

We do not guarantee that the Output is accurate, complete, appropriate for teaching or suitable for your curriculum. Our responsibility for losses is subject to sections 18 and 19 and any rights that cannot legally be excluded.

6. Apple and the App Store

The App is licensed under Apple's standard Licensed Application End User License Agreement (Apple EULA), available at apple.com/legal/internet-services/itunes/dev/stdeula/. These Terms supplement that agreement. If they conflict with the Apple EULA or the App Store terms applicable to your purchase, the applicable Apple terms take precedence to the extent of the conflict. Your mandatory consumer rights remain protected.

These Terms are between you and us. Apple is not a party and does not have to provide support or maintenance. We are responsible for App-related claims, including product liability, regulatory and consumer claims, and for handling third-party intellectual-property claims about the App.

If the App fails to meet an applicable warranty, you may notify Apple, which will refund the purchase price paid for the App. Apple has no further warranty obligations to the extent permitted by law; we remain responsible for other warranty claims and remedies required by law. Refunds for Subscriptions and Top-Ups are addressed in section 15.

You confirm that you are not in a country subject to a U.S. government embargo or designated as supporting terrorism, and are not on a U.S. prohibited or restricted-party list. You must comply with applicable export laws.

Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them.

7. Your license to use the App

We grant you a personal, nonexclusive, nontransferable license to use the App on Apple-branded devices you own or control, subject to these Terms and the App Store Usage Rules. This gives you permission to use the App; it does not transfer ownership. Your license may be suspended or ended as described in section 21.

Subscriptions and balances are associated with one Apple Account and shared across its devices when the App can verify the App Store identifier. An organization using several Apple Accounts needs separate purchases for each. Subscriptions and Top-Ups are not shared through Family Sharing.

8. Internet access and AI providers

Grading takes place through the Service, using Google's Gemini model on Vertex AI. The App cannot grade without a working internet connection, although saved work remains available offline. You are responsible for any internet or mobile-data charges.

Grading also depends on the AI provider. Outages, delays and changes to its models may affect availability and results. We may change a model or provider to maintain or improve the Service. We will update the Privacy Policy and obtain renewed permission where required before changing how or with whom grading information is shared.

9. Acceptable use

You may use the App to grade work in your role as a teacher, tutor, parent or an equivalent role. You must not:

  • Upload material you do not have the right or permission to share with us and the AI provider.
  • Use AI grading where a student has been promised human-only marking without first correcting that understanding and obtaining any required permission.
  • Copy, modify, translate or create derivative versions of the App, or reverse engineer, decompile or disassemble it, except where applicable law or an open-source license permits this.
  • Rent, sell, sublicense or transfer the App or your license, or offer the App to others as a service, except as permitted by the App Store Usage Rules.
  • Bypass unit accounting, purchase verification, App Check or other technical protections, including the AI provider's safety controls.
  • Reverse engineer or extract the AI service, its models, components or training data.
  • Use the Service or Output to develop a product or service similar to or competing with Google's AI/ML services, replace or bypass a Google model, or build or improve a similar model, except through a feature that Google expressly permits under its applicable terms.
  • Automate requests, submit work at volumes beyond ordinary classroom use, or use the App as a general interface to the AI model.
  • Remove ownership notices, interfere with the Service or use it unlawfully.

Your use must also comply with Google's Generative AI Prohibited Use Policy at policies.google.com/terms/generative-ai/use-policy, including its restrictions on harmful content, misuse of personal information and deceptive uses of AI.

We may apply limits to protect the Service, including daily account and service-wide limits. A request declined because of a limit is not charged. Daily limits reset at midnight UTC. A Subscription provides an Allowance, not unlimited access or an exemption from these limits.

10. Your responsibilities

Before submitting Student Work, check that AI grading and sharing with the providers described in the Privacy Policy are allowed by your school's policies, your employer, applicable law and any parent or student agreement. Obtain any required approval, notice or consent. We do not assess those requirements for you or guarantee that the App meets them.

Review every Output as required by section 5. Protect your Device with a passcode, keep its software current and control access to saved student information.

Maintain any records you need, including appropriate backups or exports. Our server does not keep your pages or results and cannot restore them. You are responsible for choosing suitable recipients and services when sharing exported work.

11. Student Work and privacy

You or your organization decide which Student Work to submit and must have authority to share it. We process submitted pages to provide the grading you request. Our server does not save page images, rubrics, answers, grades or feedback, except in a problem report you choose to send, and we do not use Student Work to train AI models.

The Privacy Policy explains Google's processing, the identifiers and operational records we keep, retention and your choices. Your permission in the App covers grading uploads; it does not replace school approval or any legally required parent or student permission.

These Terms and the Privacy Policy do not, by themselves, establish compliance with student privacy laws or replace a required school data-processing agreement. Contact us before submitting work if your organization needs an agreement or restrictions on processing locations.

12. Units and the free grant

A page that receives marks costs 5, 10, 15 or 20 Units at Brief output, depending on how much grading work the page takes. That is measured by the length of the grading response for the page, as reported by the AI provider, with the number of questions on the page deciding a page close to a boundary and capping the charge for an unusually long response. Detailed output adds 5 Units to a 5- or 10-Unit page and 10 Units to a 15- or 20-Unit page, so a marked page costs 10 to 30 Units at Detailed. A page that receives no marks, such as an article or question sheet the model reads to grade other work, costs 3 Units at either level. Settings shows your balance. Page estimates assume a typical marked page at Brief output, 10 Units.

Charges are calculated after a result is returned, based on the work graded. A request that returns no graded work, or a response cut off by the Service's length limit, costs no Units. A regrade is a new request and may be charged again, including when you change the Output Level or switch between Worksheet and Essay Mode.

Before grading, the App checks that your balance can cover every submitted page you did not mark as context as a marked page at the lowest price for the chosen Output Level: 5 Units at Brief, 10 at Detailed. If it cannot, the request does not start, even if the eventual charge might have been lower. If the eventual charge is more than your remaining balance, we take only what remains and do not charge the rest.

The standard one-time free grant is 100 Units, about ten marked pages at Brief output. It does not renew each month. Where the App Store identifier is available, it is granted once per Apple Account. Testing or promotional grants may differ; the App shows the balance available to you. Once the grant is spent, further grading requires a Subscription or Top-Up when purchases are available. Saved work, exports and the rubric editor remain usable with an empty balance.

We may change grading costs or future free grants with notice of material changes. Changes will not alter charges for completed requests or reduce the number of Units you have already bought. A change in grading cost may affect how many pages those Units can cover.

13. Subscriptions, Top-Ups and cancellation

Our monthly plans provide the following Allowances. The listed prices are in U.S. dollars; section 14 explains which purchase price applies.

  • Lite: 750 Units per month, $4.99 per month.
  • Plus: 2,000 Units per month, $9.99 per month.
  • Pro: 4,500 Units per month, $19.99 per month.
  • Max: 10,000 Units per month, $39.99 per month.

At Brief output, these Allowances cover about 75, 200, 450 or 1,000 typical marked pages; lighter pages cost fewer Units and longer pages more. Detailed output uses 5 or 10 more Units per marked page. Context pages cost fewer Units. The Unit Allowance, rather than a page estimate, determines your balance. No plan is unlimited. Purchases may be unavailable during testing.

While your Subscription is active, its Allowance resets each month at 12:01 a.m. in your device's time zone, on the same day of the month your Subscription started. If a month has no such day, it resets on that month's last day. Settings shows the date and time of the next reset. Unused monthly Units expire at the reset and do not normally carry forward. The free grant is one-time and does not reset.

If you upgrade during a monthly period, the unused Allowance from the previous plan is carried into the upgraded balance until the next reset. These carried Units expire at that reset. When a Subscription ends, its Allowance and any carried Units are no longer available.

A Top-Up currently provides 1,000 Units for $6.99. It is a one-time purchase and does not renew. Top-Up Units do not expire and can be used without an active Subscription. They are used after the monthly Allowance or free grant and any carried Units. Spent Units are not automatically restored; refund requests and mandatory consumer rights are covered in section 15.

Apple charges your Apple Account when you confirm a purchase. Subscriptions renew automatically unless canceled at least 24 hours before the current billing period ends. Apple may charge for renewal during the 24 hours before that period ends.

You can manage or cancel through the App's Settings or through your Device's Settings → your name → Subscriptions. Cancellation stops future renewals; you normally retain access until the paid period ends. Upgrades take effect immediately and downgrades at the next renewal, subject to Apple's purchase terms. Deleting the App or requesting deletion of your balance does not cancel a Subscription.

If a subscription free trial is offered, its terms are shown before you accept it. Any unused trial period may be forfeited when you purchase a Subscription, as explained in the offer. The one-time free Unit grant is separate from a subscription trial.

14. Prices and taxes

The App Store shows the price and currency that apply before you confirm a purchase. That price takes precedence over the example U.S. prices in these Terms. Taxes are included or added according to the rules for your App Store region, and Apple collects them where required.

We may change prices for future purchases. Price increases for an existing Subscription follow Apple's notice and consent rules. Where your consent is required and you do not give it, the Subscription will not renew at the increased price.

15. Refunds and billing problems

Apple processes App Store payments and refund requests. To request a refund, visit reportaproblem.apple.com or contact Apple Support. We cannot directly issue, approve or decline an App Store refund. Apple applies its refund policies and any consumer rights required by law.

A refunded Subscription no longer entitles you to its Allowance. Refunds may affect the associated purchase entitlement or Unit balance. Nothing in these Terms removes a right to a refund or other remedy that applicable law gives you.

If grading fails, you believe a charge is incorrect or the App is defective, contact matdo@matdolab.com. We can investigate Service and Unit-accounting issues separately from Apple's payment refund process.

16. Availability, updates and support

We may update the App and change its features or grading models. Your Device settings control automatic installation of updates. We cannot promise uninterrupted grading or a fixed response time, because the Service depends on internet access and third-party providers.

We may stop offering the App, the Service or support for an operating-system version. We will give reasonable notice where practicable and honor any obligations and remedies required by law for purchases already made.

For support, contact matdo@matdolab.com. We aim to respond promptly, but do not promise a particular response time or service level. Apple is not responsible for App support.

17. Ownership and feedback

We own the App's code, design, interface, grading prompts, and Matdo and Matdo Grade branding, except for third-party materials and components, which remain subject to their owners' rights and licenses. Your license permits use of the App; it does not transfer these rights.

We claim no ownership of Student Work. You grant us only the permission needed to process submitted work and return the Output, and to keep and review a problem report you send, as described in these Terms and the Privacy Policy. As between you and us, you may use, keep and share the Output, subject to section 9 and the rights of students and other third parties. Output may resemble results given to others. We do not promise that it is unique or that copyright protection is available.

If you send a suggestion or product feedback, you allow us to use it without payment or an obligation to adopt it. Do not include confidential information or student work in product feedback, except in a problem report sent with Report issue in the App. For support, avoid sending student work or sensitive information unless needed to resolve the issue, as explained in the Privacy Policy.

18. Warranties and consumer rights

To the extent permitted by law, the App and Service are provided "as is" and "as available". We do not give express or implied warranties of merchantability, fitness for a particular purpose, title or noninfringement, or guarantee that the App or Service will be uninterrupted, timely, secure or error-free. We do not guarantee the accuracy, reliability or suitability of the Output.

These exclusions apply only where the law allows them. They do not exclude any guarantee, warranty or remedy that consumer law requires. If your local law gives you rights that cannot be waived, those rights take precedence over these Terms.

19. Limits on our liability

To the extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary or punitive damages arising from the App, Service or these Terms. This includes lost profits, business or goodwill, lost or corrupted records, incorrect grades or feedback, and decisions based on the Output, to the extent the law permits their exclusion.

To the extent permitted by law, our total liability for claims relating to the App, Service or these Terms is limited to the greater of US$100 or the total amount you have paid for the App, Subscriptions and Top-Ups. This limit applies across all such claims, whether based on contract, negligence or another legal ground, even if we were told a loss might occur or a limited remedy does not achieve its purpose.

These limits do not apply to death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded or limited. Where local law prohibits a particular exclusion or limit, it does not apply to you.

20. Claims arising from misuse

To the extent permitted by law, you agree to reimburse and protect Matdo Lab LLC against third-party claims, losses and reasonable legal expenses resulting from your breach of these Terms, submission of work without the required authority or permission, or use of the Output in breach of section 5. This is sometimes called an indemnity.

This obligation does not cover losses caused by our own breach of these Terms, negligence or unlawful conduct, and does not override your mandatory consumer rights. We will give you reasonable notice of a claim, allow you to participate in its defense and take reasonable steps to limit the loss. We will not agree to a settlement that imposes obligations on you without your consent, which must not be unreasonably withheld.

21. Ending use or access

These Terms apply while you use the App or Service. You may stop using them at any time. To end your use, cancel any Subscription through Apple and delete the App from your Devices. Export any saved work you need first. Deleting the App does not cancel purchases or remove server records and backups; the Privacy Policy explains deletion options.

We may suspend or end your license or refuse grading requests if you materially breach these Terms, particularly sections 9 and 10. Apple may also end your license under the Apple EULA. Suspension or termination does not remove any consumer remedy required by law.

Sections 5, 11, 15 and 17 through 22 continue to apply where relevant after use ends, including to disputes or obligations arising before termination.

22. Governing law and disputes

Indiana law governs these Terms, without applying its conflict-of-laws rules. Subject to the Apple terms described in section 6, courts in Indiana may hear disputes relating to these Terms.

If mandatory consumer law gives you the protection of your local law or the right to bring a claim in your local courts, this section does not take those protections away. This includes applicable protections for consumers in the European Economic Area and the United Kingdom.

Please contact matdo@matdolab.com so we can try to resolve a problem. Contacting us is not a condition of exercising your legal rights and does not extend any deadline for bringing a claim.

23. Changes to these Terms

We may update these Terms and will revise the effective date shown above. We will give reasonable notice of changes that materially affect your rights. Changes apply from the stated effective date and do not apply retroactively.

Where the law requires your express agreement, we will obtain it before applying the change to you. Otherwise, continuing to use the App or Service after the change takes effect means you accept the updated Terms. If you do not accept them, stop using the App and cancel any Subscription. Your existing rights and any remedies required by law remain protected.

If a provision cannot be enforced, the remaining provisions continue to apply to the extent permitted by law. A delay in enforcing a provision does not waive our right to enforce it later.
